1.Introduction

Welcome to VidMet!

We are excited to have you join our platform. Your use of VidMet is governed by these Terms of Service ("Terms"), which outline the rights and responsibilities of both you and VidMet. By accessing or using VidMet, you agree to comply with these Terms, so we encourage you to carefully review them before getting started. We are committed to providing you with an enjoyable and seamless experience, and these Terms are designed to ensure that both you and our platform are protected.

1.1 Compliance with these terms

These Terms apply to you if you are a user of VidMet anywhere in the world.

Please review these Terms and our policies and instructions to understand how you can and cannot use VidMet. You must comply with these Terms in your use of VidMet and only use VidMet as permitted by applicable laws and regulations, wherever you may be when you use this software.

If you do not agree to these Terms, you may not use VidMet and must immediately terminate your use of this software and all services.

1.2 Service eligibility

The services of VidMet are not for use by anyone under the age of 18.

To use the services, you agree that: (i) you must be the “Minimum Age” (described below) or older; and (ii) you are not already restricted by us from using the services provided via VidMet.

We may change the Minimum Age from time to time based on our sole discretion. Where this is the case, the users of VidMet who were below the new Minimum Age when they started using the services under a previous Terms of Service may continue to use them, as they have already reached the new Minimum Age since then.

“Minimum Age” means 18 years old. However, if applicable law requires that you must be older in order to lawfully use VidMet without parental consent (including using of your personal data) then the Minimum Age is such older age.

If applicable law requires you to obtain the consent from your parent or guardian, then your parent or guardian must agree to these Terms (both for themselves and on your behalf) before you can use VidMet.

2. Addtional Terms and Policies

We offer a diverse range of services and features within VidMet, so in addition to these Terms, there may be certain additional terms and policies that may be applicable to your use of all or part of VidMet, as set out in this section and as otherwise notified to you from time to time. These additional terms of service and policies all form part of and are incorporated into these Terms.

2.1 VidMet Policies

In addition to these Terms of Service, it is important to note that you must also adhere to VidMet’s Privacy Policy. The Privacy Policy outlines in detail how we collect, store, and use your personal information when you use VidMet. Your privacy is of utmost importance to us, and the Privacy Policy explains the types of data we gather, the purposes for which it is used, and the measures we take to protect your information.

2.2 Terms applicable to specific VidMet features

Certain services and features offered by VidMet may be subject to additional terms and conditions that are specific to their use. These additional terms will be communicated to you directly when you access or use those particular services or features. It is important to note that in addition to these Terms of Service, you must also comply with any supplementary terms and conditions that apply to those specific services or features.

These additional terms will be clearly outlined and made available to you, and by using those services or features, you agree to be bound by them. The additional terms may include, but are not limited to, specific rules, obligations, or restrictions related to particular functions or offerings within VidMet.

3. Changes to These Terms and VidMet

We may make changes to these Terms above from time to time, so please come back and review them.

In addition, as VidMet and user experiences are constantly evolving, we may from time to time (and to the extent permitted by applicable laws and regulations) add, change or remove features from VidMet (including in relation to whether a service is free of charge or not), or suspend or terminate a service altogether.

Where we consider that any changes to these Terms or VidMet are reasonably material, we will (where reasonably practicable) notify you of such changes by posting them on our website, through our services or by sending you an email or other notification, and we will indicate when such changes will become effective. By continuing to use VidMet after we make any change to these Terms or VidMet, with or without notice from us, you are agreeing to be bound by these revised Terms. If you object to any changes, you may close your account.

4. Your Account

You will need to create an account with us in order to access and use VidMet 1) using your existing account opened at third party social media platforms (such as Facebook or Google) and 2) registering and logging in as visitors. Under the circumstance you choose 1), we will have the right to access, collect and use your information relating to these third party accounts.

Any account that you open with us is personal to you and you are prohibited from gifting, lending, transferring or otherwise permitting any other person to access or use your account. Your account name, user ID and other identifiers you adopt within VidMet remains our property and we can disable, reclaim and reuse these once your account is terminated or deactivated for whatever reason by either you or us.

You are responsible for: (i) safeguarding your account details, including any password used to access your account and VidMet, and (ii) all use of VidMet under your account. You must promptly notify us at help@parameapp.com if you know or suspect that your password or account has been compromised. We will regard all use of your account on VidMet as being by you, except where we have received and acknowledged your notification to us regarding your account/password being compromised.

5. Payments

By using the paid features or services on VidMet, you agree to pay all applicable fees associated with such services. Payments for premium subscriptions, virtual goods, or any other paid content or features are due in advance, and will be processed through the payment method you provide at the time of purchase. You represent and warrant that you have the legal right to use the payment method provided.

All fees are non-refundable, unless otherwise stated, and may be subject to taxes, handling fees, or other charges that will be disclosed to you prior to purchase. VidMet reserves the right to change or modify the pricing of our services and features at any time, with such changes becoming effective immediately upon notification to you.

6. Your Content

When you submit, upload, transmit or display any data, information, photograph or other content in connection with your use of VidMet (“Your Content”), you understand and agree that:

●You will continue to own and be responsible for Your Content;

●We will not sell Your Content to any third party;

●Your Content will be shared with other users of VidMet in many ways. For example, Your Content will be seen by other users of VidMet once you have uploaded Your Content to VidMet;

●You are giving us and our affiliate companies the right to use Your Content (with no fees or charges payable by us to you) solely for the purposes of providing, promoting, developing and trying to improve VidMet and our other services, including new services that we may provide in the future;

●In using Your Content for these purposes, we and our affiliate companies may copy, reproduce, host, store, process, adapt, modify, translate, perform, distribute and publish Your Content worldwide by all distribution methods, including those that are developed in the future;

●We may share Your Content with third parties that we work with to help provide, promote, develop and improve VidMet, but these third parties (other than our affiliate companies) will not make any separate use of Your Content for their own purposes (i.e. For any purposes that are not related to VidMet);

●We may use the name that you submit in connection with Your Content (whether that be your account name, real name or otherwise); and

●You will comply with these Terms in your submission of Your Content.

●You are prohibited from posting and agree not to post any prohibited content as determined by company, in its sole discretion and which includes, without limitation: Sexually Explicit Material, Violence and Bullying, Hate Speech, Sensitive Events, Unlawful Activity, IP Infringement. In addition, you agree that we and our affiliate companies (subject to these Terms, our VidMet Privacy Policy and applicable laws and regulations):

●You are allowed to retain and continue to use Your Content after you stop using VidMet – for example, where you have shared Your Content with other users of VidMet;

●You may be required to retain or disclose Your Content in order to: (i) comply with applicable laws or regulations; (ii) comply with a court order, subpoena or other legal process; or (iii) respond to a lawful request by a government authority, law enforcement agency or similar body (whether situated in your jurisdiction or elsewhere); and

●You may need to retain or disclose Your Content in order to enforce these Terms, protect our rights, property or safety, or the rights, property or safety of our affiliate companies or other users of VidMet.

●You understand that even if you seek to delete Your Content from VidMet, it may as a technical and administrative matter take some time or not be possible to achieve this – for example, we may not be able to prevent any third party from storing or using any of Your Content that you have made public via VidMet.

●We reserve the right to block or remove Your Content for any reason, including as is in our opinion appropriate or as required by applicable laws and regulations.

●You are solely responsible for Your Content and we recommend that you keep a back-up copy of it at all times.

●You must at all times ensure that: (i) you have the rights required to submit, transmit or display Your Content, and to grant us the rights as set out in these Terms; and (ii) Your Content (and our use of Your Content in accordance with these Terms) does not infringe or violate the rights of any person or otherwise contravene any applicable laws or regulations.

●VidMet is not a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or information that you or others provide, except to the extent required by applicable law and as noted in VidMet Privacy Policy.

7.Your Behaviour

You may not:

●Use the Products for any illegal or unauthorized purpose;

●Use the Products in any manner which could damage, disable, overburden or impair the App or any of the Services;

●Use the Products to transmit worms, viruses or any code of a destructive or malicious nature;

●Display, transmit or share any content consisting of text, sounds, audio, pictures, photos, video and/or any type of materials, information or communications (“Content”) deemed by us to be hateful, threatening, pornographic, obscene, abusive, racially or ethnically offensive, libelous or defamatory, or any Content that exhibits physical violence or encourages conduct that would be considered a criminal offense or bring forth civil liability;

attempt to hack, destabilize or adapt our website, the App (or its source code) or any of the Services, or to falsely imply that another website, app or service is affiliated with our Products; or

●Use or access the Products by any means other than through the interface provided or as required by us.

8.Prohibition of CSAE (Child Sexual Abuse Exploitation)

VidMet is dedicated to providing a safe and secure environment for all users, and we take a firm stand against any form of Child Sexual Abuse Exploitation (CSAE). CSAE, including but not limited to the creation, distribution, or solicitation of any content that exploits or harms children, is strictly prohibited on our platform.

We have a zero tolerance policy towards CSAE and will take immediate action to remove any content that violates this policy. Any users found to be engaging in CSAE will have their accounts permanently suspended and may face legal action. VidMet will also report any instances of CSAE to the appropriate law enforcement authorities, in accordance with applicable laws and regulations.

By using VidMet, you agree not to engage in any activities that involve CSAE, and you acknowledge the importance of safeguarding minors and protecting vulnerable individuals from exploitation.

9.Limitations of Liability

To the maximum extent permitted by applicable law, in no event shall the VidMet Parties be liable to you or any third party for: (a) Any special, direct, indirect, incidental, punitive, exemplary, or consequential damages, including lost profits, data, goodwill, legal fees, expert fees, substitute service costs, lost opportunities, or other expenses, arising from Service reliance or usage; (b) Third-party conduct, including other user actions or external site operators.

You agree to release, discharge, defend, indemnify, and hold VidMet and its affiliates, subsidiaries, directors, officers, agents, contractors, partners, and employees harmless from and against any loss, liability, claim, demand, damages, costs, and expenses, including reasonable attorney's fees, arising from:

● Your Service use or misuse;

● Violation of these Terms;

● Breach of representations, warranties, and covenants;

● Violation of third-party rights, including copyright, property, or privacy;

● Claims of user submissions causing third-party damage;

● User Content or Content shared on or through the Service.

However, in no event shall the aggregate liability of the VidMet Parties exceed the amount you paid to VidMet for any products or services purchased from VidMet on any of the services during the six (6) month period immediately preceding any claim. The foregoing limitations will apply even if the above-stated remedy fails in its essential purpose. As some jurisdictions do not allow some of the exclusions or limitations set forth above, some of these exclusions or limitations may not apply to you. In such event the liability of the VidMet Parties will be limited to the maximum extent possible under applicable law.

You and VidMet agree that any cause of action arising out of or related to any of the Services must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

10. Termination

10.1 Termination by You

You have the right to terminate your use of the App and/or Services at any time by deleting your account.

10.2 Termination by us

Without limiting any other remedies, we may limit, suspend, discontinue or terminate these Terms, your account and/or your use of all or any part of the App and/or Services, with immediate effect, automatically, with or without notice, if we believe that you are or may be:

in breach of any of the terms of these Terms;

causing, or threatening to cause us to incur any legal liabilities (actual or potential);

delinquent with respect to any charges due for a Premium Service and/or any paid Content and items;

infringing a third party’s intellectual property rights or personal rights or performing any forbidden activity; or engaging in prohibited behaviours, including but not limited to child abuse, prostitution, pornography, discrimination based on age, sex, gender, ethnicity, nationality, profession, political stance, religion, scamming, consumption of illegal drugs or substances.

11.Other Terms

●This Agreement represents the complete understanding between both parties regarding all agreed items and relevant matters. Other than what is specifically mentioned in this Agreement, neither party holds any additional rights or claims against the other.

● If any section of this Agreement is determined to be invalid or unenforceable by a competent authority, the remaining sections will continue to be valid and binding on both parties. This means that even if one part is struck down, the rest of the Agreement still stands.

● The headings used throughout this Agreement are solely for convenience and organization. They should not be used to interpret or influence the meaning of the Agreement's content.
